1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Peaceful Sleeper ("Company," "we," "us," or "our") concerning your access to and use of our website (thepeacefulsleeper.com), mobile application, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration and Security
Account Creation

To access certain features of our Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Maintain the security of your account credentials

  • Accept responsibility for all activities that occur under your account

  • Notify us immediately of any unauthorized use of your account

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if you violate these Terms.

4. Services
4.1 App Subscription

Our mobile application provides access to:

  • Educational courses on sleep training and child sleep

  • Live events and webinars

  • Community features and forums

  • Resources and tools for parents

  • Additional content and features as we develop them

Subscription Terms:

  • Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan)

  • Your subscription will automatically renew at the end of each billing period unless canceled

  • You may cancel your subscription at any time through your account settings or the app store

  • Upon cancellation, you will retain access through the end of your current billing period

  • Fees are non-refundable except as described in our Refund Policy

4.2 Consultations

We offer one-on-one sleep consultations and consultation packages. By booking a consultation, you agree to:

  • Provide accurate information about your child and sleep challenges

  • Attend scheduled consultations at the agreed-upon time

  • Follow the cancellation policy outlined in our Refund Policy (24-hour notice required)

  • Understand that consultations provide educational guidance, not medical advice

4.3 Academy Certification

Our Academy Certification program trains individuals to become Pediatric Sleep Consultants. By enrolling, you agree to:

  • Complete all required coursework and assessments

  • Adhere to the Academy's code of ethics and professional standards

  • Understand that certification fees are non-refundable

  • Not represent yourself as certified until you have completed all requirements

  • Maintain your certification through any required continuing education

5. Payment and Billing
Payment Methods

We accept payment through various methods, including credit cards, debit cards, and other payment services. By providing payment information, you represent that you are authorized to use the designated payment method.

Pricing

All prices are in U.S. dollars unless otherwise specified. We reserve the right to change our prices at any time. Price changes will not affect existing subscriptions until the next renewal period.

Automatic Renewal

For subscription services, you authorize us to charge your payment method automatically at the beginning of each billing period. You will be notified in advance of any price changes.

Failed Payments

If a payment fails, we may suspend your access to subscription services until payment is received. You remain responsible for any outstanding amounts.

Taxes

You are responsible for any applicable taxes, duties, or government-imposed fees associated with your purchase.

6. Refund Policy

7. Intellectual Property Rights
Our Content

All content on our Services, including but not limited to text, graphics, logos, images, videos, audio, software, and course materials (collectively, "Content"), is the property of The Peaceful Sleeper or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for your personal, non-commercial use

  • Download and view course materials for your personal learning (if applicable to your subscription)

Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services or Content

  • Reverse engineer or attempt to extract source code from our software

  • Remove or alter any copyright, trademark, or other proprietary notices

  • Use our Content for commercial purposes without written permission

  • Share your account credentials or allow others to access your account

  • Record, screenshot, or redistribute live events, webinars, or course content

  • Use our Services in any way that violates applicable laws or regulations

User-Generated Content

If you post, upload, or submit content to our Services (such as in community forums or comments), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute such content in connection with our Services.

You represent and warrant that:

  • You own or have the necessary rights to any content you submit

  • Your content does not violate any third-party rights or applicable laws

  • Your content does not contain malicious code or viruses

8. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms

  • Harass, threaten, intimidate, or harm others

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Interfere with or disrupt the Services or servers or networks connected to the Services

  • Collect or store personal information about other users without their consent

  • Use automated systems (bots, scrapers) to access the Services

  • Upload or transmit viruses, malware, or other malicious code

  • Post spam, advertisements, or promotional materials without our permission

  • Engage in any activity that could damage our reputation or business

We reserve the right to monitor user conduct and remove any content that violates these Terms.

Our courses, consultations, and content do not replace professional medical advice, diagnosis, or treatment. We are not responsible for any decisions you make based on information obtained through our Services.

Educational Content

While we strive to provide accurate and helpful information, we make no warranties or representations about the accuracy, completeness, or suitability of our Content. Sleep training approaches may not work for all children, and results may vary.

Services Provided "As Is"

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement

  • Warranties that the Services will be uninterrupted, secure, or error-free

  • Warranties regarding the accuracy or reliability of any information obtained through the Services

  • Warranties that defects will be corrected

Third-Party Services

Our Services may integrate with or contain links to third-party websites, services, or applications. We are not responsible for and do not endorse any third-party services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Liability for Damages

IN NO EVENT SHALL THE PEACEFUL SLEEPER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business

  • Loss of data or information

  • Personal injury or property damage

  • Costs of procurement of substitute services

  • Any other damages arising out of or related to your use of the Services

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Basis of the Bargain

You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable allocation of risk and are fundamental elements of the agreement between you and The Peaceful Sleeper.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Peaceful Sleeper and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any rights of another person or entity

  • Your User-Generated Content

12. Termination
Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will immediately cease.

Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if:

  • You breach these Terms

  • Your account has been inactive for an extended period

  • We discontinue the Services

  • We are required to do so by law

Effect of Termination

Upon termination:

  • Your right to access and use the Services will cease immediately

  • You remain responsible for any outstanding fees or obligations

  • Provisions that by their nature should survive termination will continue (e.g., intellectual property, disclaimers, limitations of liability, indemnification)

13. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

14. Copyright Infringement Claims (DMCA)

We respect the intellectual property rights of others. If you believe that any content on our Services infringes your copyright, please contact us at support@thepeacefulsleeper.com with the following information:

  • Your contact information

  • Identification of the copyrighted work claimed to have been infringed

  • Identification of the allegedly infringing material and its location on our Services

  • A statement that you have a good faith belief that the use is not authorized

  • A statement that the information in the notification is accurate

  • Your physical or electronic signature

15. Governing Law and Dispute Resolution
Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to contact us at support@thepeacefulsleeper.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

If we cannot resolve a dispute informally, you and The Peaceful Sleeper agree to resolve any claims through final and binding arbitration, except as set forth below.

Arbitration Process:

  • Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules

  • The arbitration will take place in Utah or another mutually agreeable location

  • Each party will bear its own costs and attorneys' fees, unless the arbitrator awards them

  • The arbitrator's decision will be final and binding

Exceptions to Arbitration:

  • Small claims court actions (if the claim qualifies)

  • Claims related to intellectual property infringement

  • Claims for injunctive relief

Class Action Waiver: YOU AND THE PEACEFUL SLEEPER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Utah.

16. Miscellaneous
Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and The Peaceful Sleeper regarding the Services and supersede all prior agreements and understandings.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or internet outages.

Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

Electronic Communications

You consent to receive electronic communications from us, including emails, push notifications, and messages through the app. These communications may include notices about your account and information concerning or related to our Services. You agree that any notices, agreements, disclosures, or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing.

California Users

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing or by telephone.

Export Control

You may not use, export, or re-export our Services except as authorized by United States law and the laws of the jurisdiction in which the Services were obtained.

Acknowledgment

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
